Sideline Documentation and Design LLC (a.k.a., "Sideline") Terms and Conditions

Terms and Conditions

  1. Scope of Work: The Request for Work (or RfW) will be outlined in a project agreement as created by Sideline Documentation and Design LLC (a.k.a., "Sideline"), submitted to the client for review and approval, and agreed upon by Sideline and the client. The RfW will include the deliverables, estimated timeline, and payment terms.

  2. Communication: Sideline and the client will communicate regularly via email, text, phone call, or video conference to ensure the project is progressing as the client expects. The client will provide timely feedback (defined as 3-business days unless otherwise specified by client's schedule) and approval of deliverables to avoid delays.

  3. Payment: The client will pay Sideline the agreed-upon fee for the project as outlined in the RfW. Payment terms will be agreed upon in advance and the client will pay Sideline on-time and in the full amount documented.

  4. Intellectual Property: The client will own all intellectual property rights to the deliverables created by Sideline Documentation and Design LLC for the RfW. Unless requested from Sideline to the client, Sideline will not use the client's intellectual property without documented permission.

  5. Confidentiality: Sideline will keep all client information confidential and will not disclose it to any third party without the client's documented permission.

  6. Project Refusal: Sideline has the right to refuse acceptance of a client project. Sideline also has the right to refuse additions to a fully accepted Request for Work (RfW).

  7. Termination: Either Sideline or the client may terminate the agreement, RfW, video conference, phone call, email, or text communications at any time and solidify such by documented agreement. If the client terminates the agreement, they will pay Sideline for all hours and work completed up to that point which Sideline will determine and invoice the client. The client agrees by use of Sideline's work and Services to that point that he/she/they will pay the invoiced amount in full and on time.

  8. Liability: Sideline will not be liable for any damages or losses incurred by the client as a result of the project. The client will indemnify and hold Sideline harmless from any claims, damages, or losses arising from the project.

  9. Governing Law and Tax Processes: These Sideline Documentation and Design LLC terms and conditions will be governed by the laws and taxes of the state of Pennsylvania, United States of America.

  10. Entire Agreement: These Sideline Documenattion and Design LLC terms and conditions, along with any project, or RFW, represent the entire agreeent beetween Sideline and the client, and supersede any prior agreemnets or understandings whether written or oral.

  11. Amendments: These terms and conditions may only be amended in writing and signed by both parties in a timely manner once agreed upon.
